Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DealersTools AI website at https://dealerstools.com, our cloud-based Voice Commerce platform, embeddable AI shopping assistants, APIs, voice and text conversational interfaces, AI sales agent features, and related products (collectively, the "Services"). By creating an account, deploying an assistant, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete registration information and to keep it updated.

You are solely responsible for:

• Configuring the Services appropriately for your business, including AI prompts, knowledge bases, and integrations.
• All content, data, and messages you or your end users submit through the Services, including lead forms, chat transcripts, and uploaded materials.
• Reviewing AI-generated responses before relying on them for business, legal, medical, financial, or customer-facing decisions.
• Ensuring your use of the Services complies with applicable laws, industry regulations, and third-party platform policies (including WordPress, WooCommerce, CRM providers, and payment processors).
• Obtaining any required consents from your customers for data collection, marketing communications, and automated interactions.

You may not use the Services to:

• Violate any applicable law, regulation, or third-party rights.
• Transmit malware, spam, phishing content, or unlawful, harassing, defamatory, or discriminatory material.
• Attempt to gain unauthorized access to our systems, other accounts, or third-party services.
• Reverse engineer, scrape, or misuse the Services except as expressly permitted by law or written authorization.
• Use the Services to generate or distribute content that is fraudulent, deceptive, or harmful.
• Circumvent usage limits, license restrictions, or security controls.

We may investigate violations and suspend or terminate access where we reasonably believe misuse has occurred.

DealersTools AI provides AI chatbot, AI sales assistant, lead collection, CRM integration, analytics, and related automation features. AI-generated content may be incomplete, outdated, or inaccurate. The Services do not provide legal, medical, financial, or professional advice. You remain responsible for verifying AI outputs before use in business operations, customer communications, pricing, inventory, appointments, or compliance-sensitive workflows.

DealersTools AI and its licensors own all rights, title, and interest in the Services, including software, plugins, documentation, branding, and underlying technology. Except for the limited license granted below, no rights are transferred to you.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your subscription term.

You retain ownership of your content and data. You grant us a worldwide license to host, process, transmit, and display your content solely to provide, secure, and improve the Services.

DealersTools AI may offer a Free Beta plan and other preview or experimental features. Beta features may be modified, limited, suspended, or discontinued at any time without notice. Beta Services are provided without warranties and may have reduced availability, support, or functionality. Pricing, features, and usage limits for beta offerings may change when general availability launches.

Paid plans, including monthly and annual subscriptions, are billed through Stripe or other authorized payment processors. Enterprise and custom plans are quoted separately and governed by applicable order forms or statements of work in addition to these Terms. Pricing displayed on our website applies to new customers unless otherwise stated. Existing customers may receive promotional, legacy, or grandfathered pricing at our discretion.

We strive to maintain reliable Services but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, internet disruptions, and force majeure events may affect availability. We may modify, improve, or discontinue features at any time, including beta functionality.

You may cancel your subscription according to our Subscription Terms. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, pose a security risk, or use the Services unlawfully. Upon termination, your license ends and you must stop using the Services. Provisions that by nature should survive termination will remain in effect.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALERSTOOLS AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless DealersTools AI and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Services after changes become effective constitutes acceptance. We may also modify, discontinue, or improve any part of the Services, including beta features, integrations, and pricing for future customers.

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services shall be brought in the state or federal courts located in Texas, unless otherwise required by applicable law. You consent to personal jurisdiction in those courts.
